Terms of Use for Affiliation on Trak Vault

Effective Date: JANUARY 1, 2026

Welcome to the Trak Vault Affiliate Program! These Terms of Use ("Terms") govern the relationship between Trak Vault and individuals or entities seeking a mutual promotional association. By enrolling as an affiliate, you agree to comply with these Terms.

1. Eligibility

Businesses and individuals may apply for affiliation. Affiliates must be at least 18 years old and legally permitted to enter into binding contracts. We reserve the right to approve or reject any affiliate application at our sole discretion based on brand alignment.

2. Affiliate Conduct and Content

Affiliates must promote Trak Vault in a lawful and ethical manner. Prohibited promotional methods include, but are not limited to:

  • Illegal, misleading, or deceptive marketing practices
  • Spamming or unsolicited commercial emailing
  • Promoting Trak Vault on sites containing hate speech, violence, or discriminatory content
  • Any activity that infringes on the intellectual property rights of Trak Vault or third parties
  • 3. Confidentiality and Non-Disclosure

    Both parties agree not to share communications, sensitive information, or information regarding plans like upcoming features, sponsors, or partnerships, unless both parties agree prior to disclosure.

    4. Links and Promotional Materials

    Upon approval, Trak Vault may provide authorized assets (logos, links, banners). We reserve the right to:

  • Determine the approved format and appearance of all affiliate assets
  • Require the removal of assets from platforms we deem inappropriate
  • Modify promotional materials at any time to maintain platform integrity
  • 5. Mutual Promotion and Value Exchange

    The Trak Vault Affiliate Program is primarily based on a mutual promotion model.

  • Affiliate Obligations: The Affiliate agrees to promote Trak Vault services to their respective audience as outlined in their specific partnership track.
  • Trak Vault Obligations: In exchange, Trak Vault may provide promotional visibility for the Affiliate within the Trak Vault platform, social channels, and/or any additional promotional obligations outlined in their specific partnership track.
  • Specific Expectations: Detailed deliverables, such as the frequency of posts or specific placement of logos, will be governed by a separate Mutual Expectations Addendum unique to each affiliate.
  • 6. Payments and Fees

    Unless explicitly stated in a signed Mutual Expectations Addendum, affiliation is considered a "barter" or "value-in-kind" relationship with no direct monetary compensation.

  • If a specific track includes commissions, those terms will be defined in the supplemental file
  • Each party is responsible for their own costs associated with the promotional activities described herein
  • Any late payments (if applicable via addendum) may result in immediate suspension of the affiliation
  • 7. Right to Withdraw and Termination

    Either party may terminate the affiliation at any time.

  • Affiliate Withdrawal: Affiliates may back out of the program at any time provided they have reciprocated any existing promotional efforts or "value-in-kind" services already rendered by Trak Vault.
  • Trak Vault Termination: We reserve the right to suspend or terminate any affiliation without prior notice for violations of these Terms, brand misalignment, or any activities that may harm the reputation of Trak Vault.
  • 8. Failure to Reciprocate

    If a party fails to fulfill the mutual promotional obligations defined in these Terms or any applicable Mutual Expectations Addendum, the non-breaching party reserves the right to:

  • Immediately suspend their own promotional efforts and deliverables
  • Terminate the affiliation for cause without prior notice
  • Require the immediate removal of all branding, logos, and promotional assets from the breaching party’s platforms
  • Seek equivalent value or restitution for promotional services already rendered that were not reciprocated as agreed
  • 9. Independent Contractor Relationship

    Affiliates are independent partners. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship. Each party retains full control over their own business operations.

    10. Limitation of Liability

    Trak Vault shall not be liable for any indirect, incidental, or consequential damages resulting from the affiliation. Our total liability shall not exceed any fees or value-in-kind services exchanged during the six months preceding a claim.

    11. Changes to These Terms

    We may update these Terms at any time. When changes are made, affiliates will be prompted to review and accept the revised Terms. Continued participation in the program constitutes acceptance of the updated Terms.

    12. Governing Law

    These Terms shall be governed by and interpreted in accordance with the laws of the United States and the State of Washington. Nothing in this document shall supersede or override any applicable federal, state, or local laws.
